Part A · Using this website
1About these Terms
1.1These Terms of Use (the “Terms”) are issued by MB „Founders Lab“, a small partnership (mažoji bendrija) registered in the Republic of Lithuania, company code 307723131, email [email protected] (“Founders Lab”, “we”, “us”, “our”).
1.2They apply to the website at founderslab.lt, its subdomains and any other page we run that links to these Terms (the “Website”), and, as set out in Part B, to our services.
1.3By using the Website you accept these Terms. If you do not accept them, do not use the Website.
1.4If you use the Website or engage us on behalf of a business or other organisation, you confirm that you have authority to accept these Terms for it, and “you” includes that organisation.
1.5Our Privacy Policy explains how we handle personal data. It is a separate document and not part of these Terms.
2Information only, no offers
2.1The Website describes our services and shows examples of our work. Its content is general information. It is not legal, tax, financial, technical, marketing or other professional advice, and you must not rely on it as such.
2.2Nothing on the Website is an offer that you can accept to form a contract. Descriptions of services, steps, timelines, prices and results are indicative and invite you to contact us. A contract exists only as described in clause 8.
2.3We may change, suspend or remove any part of the Website, or any service it describes, at any time and without notice.
3Portfolio, concepts and demos
3.1Client work. Projects marked as client work were made for real clients. Each client runs its own website and is responsible for it. Figures and results we describe belong to that project and do not promise similar results for you.
3.2Concepts. Projects marked as concepts, including REBOUND and AETHER X1, are fictional. We made them to show what we can build. The businesses, products, people, prices, reviews, opening hours, statistics and medical or technical information in them are invented or illustrative. Any resemblance to a real business or person is coincidental. Where a concept shows a real place, such as a street address or a map, no such business exists there and nobody there is connected with us.
3.3No real transactions. You cannot book an appointment, buy a product, place an order or receive any service through a concept or demo. Bookings, checkouts, payments and forms in concepts are simulations. Do not enter real personal data, health information or payment details into them.
3.4No medical or professional advice. Health, exercise, treatment or other expert information in a concept, such as the rehabilitation programmes in REBOUND, is illustrative only and is not medical or other professional advice. Do not use it to diagnose or treat any condition. Consult a qualified professional.
3.5Product demos. Demos of our own products, such as Routly, use sample data and may not reflect the current product, which may change. A demo is not an offer to supply the product.
3.6Names and marks of others. Names, logos and trademarks of clients and other businesses shown on the Website, such as Vegtomas and ALPI, belong to their owners. Showing them does not mean that their owners endorse us.
3.7We are not responsible for any consequence of treating a concept or demo as a real business, product or service, or of relying on its content.
4Intellectual property
4.1The Website and everything on it, including its design, layout, text, graphics, 3D models and scenes, animations, images, videos, source code and the FOUNDERS LAB name and logo, are owned by us or our licensors and protected by copyright, trademark and other laws. All rights are reserved.
4.2You may view the Website, share links to it, and save or print pages for your own reference while you consider our services.
4.3Unless we agree in writing, you may not:
- (a)copy, reproduce, modify, distribute, republish, sell or make derivative works from any part of the Website, including its design, code, 3D scenes and concepts;
- (b)frame or mirror the Website, or present its content as your own;
- (c)use our name, logo or work in a way that suggests we endorse you or are connected with you;
- (d)extract content with robots, scrapers or other automated means, except search engines indexing the Website to show it in search results;
- (e)reproduce or extract the Website’s content for text and data mining, including to train, fine-tune or test artificial intelligence or machine-learning systems. We expressly reserve this right under Article 4(3) of Directive (EU) 2019/790 and the Lithuanian Law on Copyright and Related Rights.
4.4Proposals, concepts, designs, mockups, audits and ideas that we share with you, whether on the Website, by email, on a call or in a proposal, remain our property and our confidential information. You may use them only to decide whether to work with us. You may not use them, or pass them to anyone else to build or adapt, unless we agree in writing or you have paid for them under an Agreement.
4.5If you send us feedback or suggestions, we may use them freely and without any obligation to you.
5Acceptable use
5.1You must not:
- (a)use the Website unlawfully, fraudulently or to cause harm;
- (b)try to gain unauthorised access to the Website, its servers or any connected system, or probe or test their vulnerability without our written permission;
- (c)introduce viruses, malware or other harmful code, or disrupt the Website, for example by overloading it;
- (d)use the Website or our contact details to send spam, unsolicited advertising, phishing or abusive messages;
- (e)impersonate any person or misrepresent your connection with any person or business.
5.2We may block access to the Website and stop dealing with anyone who breaches these Terms, and we may report unlawful activity to the authorities.
6Links and third-party services
6.1The Website links to, and loads content from, websites and services run by others, such as client websites, platforms that host our demos, Google Fonts and jsDelivr. We do not control them and are not responsible for their content, availability, security or privacy practices. A link is not an endorsement. You use them at your own risk and under their terms.
6.2You may link to the Website in a fair and lawful way that does not damage our reputation or suggest any connection we have not approved.
7Website disclaimer and liability
7.1The Website is provided free of charge, “as is” and “as available”. To the fullest extent permitted by law, we give no promise or warranty, express or implied, that the Website or its content is accurate, complete, current, uninterrupted, secure, free of errors, viruses or other harmful components, or fit for any purpose.
7.2To the fullest extent permitted by law, we are not liable for any loss or damage arising from or connected with your use of, or inability to use, the Website; your reliance on its content; any concept or demo; or any third-party website or service. This includes direct, indirect and consequential loss, loss of profit, revenue, business, goodwill, opportunity or data, and damage to devices or software. You are responsible for protecting your devices with suitable security software.
7.3If we are nevertheless found liable in connection with the Website, our total liability to you for all claims together is limited to EUR 100.
7.4This clause is subject to clause 24.
Part B · Our services
8Who we work with and how a project is agreed
8.1We provide services only to businesses and to people acting for purposes of their trade, business, craft or profession. By asking us for a proposal or engaging us, you confirm that you are not acting as a consumer. We do not offer services to consumers.
8.2The free intro call, and any proposal, estimate, audit or mockup we give you before a project is agreed, create no obligation for either side. They are not professional advice.
8.3A project is agreed only when you accept our written proposal in writing within its validity period, for example by signing it or confirming it by email, or when we both sign a separate contract. Unless the proposal says otherwise, it is valid for 30 days. We may withdraw or change a proposal until you accept it.
8.4The accepted proposal or the signed contract, together with this Part B and Parts A and C as far as they are relevant (the “Agreement”), is the entire contract for the project. If they conflict, the proposal or contract prevails over these Terms. The version of these Terms in force on the day the Agreement is made applies to it, unless we both agree otherwise in writing.
8.5Your own terms and conditions, such as those in a purchase order or a supplier portal, do not apply, even if you send them or refer to them, unless we expressly accept them in writing.
8.6We may decline any enquiry or project without giving a reason.
9Scope, changes and timelines
9.1We provide only the work described in the Agreement (the “Services”) and the results it describes (the “Deliverables”). Anything not expressly included is excluded, for example copywriting, translation, photography, stock images and font licences, content entry, data migration, hosting, domains, email setup, third-party licences, maintenance after the Fix Period, advertising budgets, and legal or regulatory review.
9.2Any change to the scope, including extra pages or features, more revision rounds than agreed, or changes to work you have already approved, is a change request. We will tell you how it affects the price and timeline, and we carry it out only after you agree in writing. Unless agreed otherwise, extra work is charged at our rates in force at the time.
9.3Timelines and dates are estimates unless the Agreement expressly calls a date binding. We will make reasonable efforts to meet them.
10Your responsibilities
10.1You will:
- (a)give us complete and accurate content, materials, information, access, decisions and feedback when we reasonably need them;
- (b)name one contact person who can take decisions for you;
- (c)review previews and Deliverables promptly and report issues in writing;
- (d)make sure that everything you give us is accurate and lawful.
10.2If you are late with something we need, or a delay is caused by you or your other suppliers, our dates move by at least the length of the delay, and we may charge reasonable extra costs or move the work to our next available slot. If a project is on hold for more than 30 days because we are waiting for you, we may invoice the work done so far and treat the rest as suspended until you are ready.
10.3You are responsible for all content and materials you provide or ask us to use, including text, images, logos, trademarks, fonts and data, and you confirm that you have every right and permission needed to use them. We do not have to check them.
10.4You are responsible for the content of your website or system and for how you use it, and for making sure that it and your business comply with the laws that apply to you. These include rules on personal data and cookies, consumer protection, e-commerce, advertising, accessibility and your profession or industry, for example rules on advertising healthcare or legal services. Unless the Agreement says otherwise, we do not give legal advice or check legal compliance. Any template text we add at your request, such as a privacy policy or a cookie notice, is a starting point that you must review and approve.
10.5Where Deliverables process personal data for you, for example through booking or contact forms, you are the controller of that data and we act as your processor. On request, we will sign a data processing agreement that meets Article 28 of the GDPR.
10.6You are responsible for keeping your accounts, passwords and access details secure, and for regular backups of your content and data, unless the Agreement makes us responsible for backups.
11Third-party services
11.1Websites and systems rely on services from other companies, such as hosting, domains, email, content management systems, plugins, fonts, maps, payments, analytics, AI and other APIs, and app stores (“Third-Party Services”). Those companies provide them under their own terms and prices, which you accept and pay. Where possible, accounts are opened in your name.
11.2We are not responsible for Third-Party Services, including their availability, security, performance, data handling, changes to their features, prices, terms or rules, or their discontinuation, even where we recommended, set up or manage them. Work needed because a Third-Party Service changes or stops is a change request.
11.3Open-source software in the Deliverables is licensed under its own licence terms, which apply to that software.
12Delivery and acceptance
12.1When we deliver a Deliverable or a milestone, you have 5 business days to test it and tell us in writing about any material defect, meaning a failure to work as described in the Agreement. We will fix reported material defects within a reasonable time and deliver again for review.
12.2A Deliverable is accepted at the earliest of: (a) your confirmation; (b) the end of 5 business days after delivery without a written report of a material defect; (c) the moment you, or anyone with your permission, start using it in live operation, for example by publishing the website.
12.3Minor issues that do not stop a Deliverable from being used do not prevent acceptance. We fix them under clause 13.
13Quality and defect fixes
13.1We will perform the Services with reasonable skill and care.
13.2For 30 days after acceptance (the “Fix Period”), we will fix free of charge any defect that you report in writing where a Deliverable does not work as described in the Agreement. To the fullest extent permitted by law, this is your only remedy for defects.
13.3The Fix Period does not cover problems caused by changes made by you or anyone other than us; Third-Party Services; hosting or infrastructure we do not manage; your content or data; new versions of browsers, operating systems, devices or Third-Party Services released after acceptance; misuse; or not following our instructions. Fixing these is a change request.
13.4Except as stated in this clause, and to the fullest extent permitted by law, we give no other warranties or conditions, express or implied, about the Services or Deliverables, including as to quality, fitness for a particular purpose or non-infringement. In particular, we do not warrant that Deliverables will be free of errors or interruptions, work on every device, browser or system, be secure against every attack, or achieve any particular business result.
14No guaranteed results
14.1Search rankings, traffic, leads, conversions and sales depend on many things outside our control, including search engine algorithms, competition and your own business. We do not guarantee any ranking, position, traffic, number of leads, revenue or other result. Any forecast or example we give is an illustration, not a promise.
14.2Search engines and platforms change their rules and algorithms without notice. We are not responsible for changes in rankings or visibility, or for penalties they apply.
14.3Where Deliverables include features based on artificial intelligence, their output may be inaccurate, incomplete or unexpected. You are responsible for checking it and for how you use it, including any decision made with it.
15Tools, AI and subcontractors
15.1To provide the Services we may use software tools, including AI-assisted design and coding tools, and subcontractors bound by confidentiality. You agree to this.
15.2Material produced with AI tools may not be protected by copyright in the same way as work created by people. We transfer whatever rights we have in it under clause 17, but we do not guarantee that such material is protected by copyright or that you can stop others from using similar material.
16Prices and payment
16.1Prices are stated in the Agreement, in euros, plus any VAT and other taxes that apply.
16.2Unless the Agreement says otherwise, we invoice 50% of the price before work starts and the balance on acceptance, before launch or handover. Invoices are due within 7 days of the invoice date.
16.3Advance payments reserve our time for your project and are non-refundable once work has started, unless the Agreement says otherwise or we end the Agreement for a reason other than your breach.
16.4If you do not pay on time, we may, in addition to our other rights:
- (a)charge late interest of 0.05% of the overdue amount for each day of delay, and recover our reasonable costs of collection, including the compensation for recovery costs provided by the Lithuanian Law on the Prevention of Late Payments in Commercial Transactions;
- (b)suspend the work, with all dates moving accordingly;
- (c)withhold Deliverables, files, source code, access and the transfer of rights until everything overdue is paid;
- (d)suspend any hosting or other ongoing service we provide to you, after giving you at least 7 days’ written notice.
16.5You must pay in full and may not withhold, reduce or set off any amount against a claim you have against us, unless we agree in writing or a court has finally upheld your claim.
16.6We may change the prices of ongoing services, such as hosting or maintenance, by giving you at least 30 days’ written notice. If you do not accept the change, you may end that service before the new price applies.
17Intellectual property in the Deliverables
17.1Our Materials. We keep all rights in the tools, code, components, templates, designs, methods and know-how that we created before or separately from your project, or that we use across projects (“Our Materials”), even where they are part of the Deliverables.
17.2On full payment. Once you have paid everything due under the Agreement in full, and unless the Agreement says otherwise:
- (a)we transfer to you the economic copyright in the parts of the Deliverables created specifically for you, excluding Our Materials, Third-Party Services and open-source software, for all forms of use, worldwide, for the full term of protection; and
- (b)we grant you a non-exclusive, perpetual, worldwide licence to use Our Materials that are part of the Deliverables, only as part of those Deliverables.
The price in the Agreement includes payment for this transfer and licence.
17.3Until full payment. Until you have paid in full, all rights in the Deliverables remain with us, and you may use them only to review them during the project. If you use or publish them before paying in full, you do so under a temporary licence that ends automatically if you do not pay on time.
17.4Unless the Agreement says otherwise, the Deliverables are the finished website or system in working form. Editable design files, drafts, unused concepts and our internal tools are not included.
17.5The authors keep their personal non-property (moral) rights as provided by law.
18Portfolio and credit
18.1Unless you tell us in writing that you do not agree, we may show the project, your name and logo, and a short description of our work in our portfolio, on our website, in proposals and in our marketing, and name you as our client. We will not disclose your confidential information in doing so. If you object later, we will not use the project in new materials, but we need not withdraw materials already published or distributed.
18.2We may place a small credit, such as “Made by Founders Lab” with a link, in the footer of a website we build. You may ask us to remove it.
19Confidentiality
19.1Each of us will keep confidential the non-public information we receive from the other about its business, clients, systems and finances, and use it only for the project. Our proposals, prices and methods are our confidential information.
19.2This does not apply to information that is or becomes public without a breach of this clause, that the receiving party already had or developed independently, or that must be disclosed by law or by a court.
19.3This obligation continues for 3 years after the project ends.
20Your indemnity
You will compensate us for, and protect us against, all losses, damages, fines, costs and expenses, including reasonable legal fees, arising from any claim by a third party or an authority that relates to:
- (a)content, materials, data or instructions you provided or approved;
- (b)your website, system or business not complying with the law;
- (c)your use of the Deliverables or of Third-Party Services; or
- (d)your breach of the Agreement or these Terms.
21Limitation of liability
21.1To the fullest extent permitted by law, we are not liable for loss of profit, revenue, business, contracts, savings, goodwill or opportunity; loss or corruption of data; business interruption; or any indirect or consequential loss, whether or not it was foreseeable and whatever the legal basis of the claim.
21.2Our total liability for all claims together arising out of or in connection with a project, whether in contract, in tort (delict) or otherwise, is limited to the fees you actually paid us under the Agreement in the 12 months before the event that gave rise to the first claim.
21.3We are not liable for loss caused by Third-Party Services; your content, instructions or approvals; changes made by anyone other than us; a failure to keep backups or to secure your accounts; or a delay or failure on your side.
21.4You must tell us in writing about any claim promptly, and in any case within 30 days after you become aware of its grounds, so that we have the chance to fix the problem. We are not liable for any part of a loss that could have been avoided by telling us sooner.
21.5Only MB „Founders Lab“ is responsible to you. To the fullest extent permitted by law, you will not bring any claim personally against our members, employees or subcontractors.
21.6This clause is subject to clause 24.
22Suspension and termination
22.1We may suspend the work, or end the Agreement immediately by written notice, if:
- (a)you do not pay an amount due within 14 days after our reminder;
- (b)you materially breach the Agreement or these Terms and, where the breach can be fixed, do not fix it within 14 days of our notice;
- (c)you act abusively or unlawfully towards us;
- (d)you become insolvent, enter bankruptcy or restructuring, or stop trading; or
- (e)continuing would require us to break the law.
22.2You may end the Agreement at any time by written notice. If you do, or if we end it under clause 22.1, you must pay for all work done up to the end date and for any costs we have committed to, and compensate our other losses caused by the early termination as the law provides. Advance payments are not refunded.
22.3Clauses that by their nature should continue after the Agreement ends, including those on payment, intellectual property, confidentiality, indemnity, limitation of liability and governing law, continue to apply.
23Force majeure
23.1We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, government action, power or internet outages, failures of hosting, cloud or other Third-Party Services, cyber-attacks, strikes, and serious illness or injury of a key member of our team.
23.2Our obligations are suspended while the event lasts, and dates move accordingly. If it lasts more than 60 days, either of us may end the Agreement by written notice, and you pay for the work done.
Part C · General
24What we do not exclude
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for damage caused intentionally or through gross negligence, and for harm to a person’s life or health. If you use the Website as a consumer, these Terms do not affect the rights that consumer law gives you and that cannot be waived. This clause prevails over every other clause.
25Changes to these Terms
We may change these Terms at any time by publishing a new version on the Website. Changes apply to use of the Website from publication. For Services, the version in force when the Agreement was made continues to apply to it, unless we both agree otherwise in writing.
26Other legal terms
26.1Notices. Notices under these Terms must be in writing, and email counts as writing. Our address for notices is [email protected].
26.2Transfer. We may transfer our rights, including the right to be paid, and, with notice to you, our obligations to another company, for example if our business is reorganised or sold. You may not transfer your rights or obligations without our written consent.
26.3Severability. If any provision is found invalid or unenforceable, it applies to the greatest extent allowed and is replaced by a valid provision as close as possible to its purpose, and the rest of these Terms remain in force.
26.4No waiver. If we do not enforce a right straight away, we may still enforce it later.
26.5Entire agreement. For Services, the Agreement is the entire agreement between us about the project and replaces any earlier statements, proposals, mockups or discussions. You confirm that you have not relied on any statement that is not in the Agreement.
26.6Language. These Terms are published in English and Lithuanian. If the versions differ, the English version prevails, unless the law requires otherwise.
27Governing law and disputes
27.1These Terms, the Website, every Agreement and any dispute about them, including non-contractual disputes, are governed by the law of the Republic of Lithuania.
27.2We will first try to resolve any dispute by negotiation. If it is not resolved within 30 days, it will be decided by the courts of the Republic of Lithuania, by the court with jurisdiction for our registered office.
27.3If you are a consumer using the Website, you also keep the protection of the mandatory laws of your country of residence and the right to bring proceedings there.
